Terms & Conditions

for participants of the 2025 CNI Annual Conference as organized by Chem-Nut, Inc. (“CNI”) in conjunction with Proske Inc.

1. Scope

The following Terms and Conditions shall govern the contractual relationship between the 2025 CNI Annual Conference registrants and/or participants and CNI as the host of the 2025 CNI Annual Conference taking place in Nashville in 2025 (hereinafter referred to as “2025 AC”).

2. Contracting parties

The contracting partners are: CNI and each individual 2025 CNI Annual Conference registrant and/or participant, including any friends, family, or guests of registrants who participate in the 2025 CNI Annual Conference (“participant,” registrant,” or “you”).

CNI in its absolute discretion reserves the right to cancel any or all contracts with any registrant or participant unilaterally without giving any reason whatsoever. In the event that CNI exercises this right, any fees already paid by a registrant or participant will be refunded in full by CNI.

3. 2025 CNI Annual Conference registration office

4. Registration / registration confirmation

The 2025 AC registration will be online at https://cni-annualconference.com/ (“Website”). The Website is provided solely to assist invited 2025 CNI Annual Conference participants in gathering travel information, making legitimate reservations or otherwise transacting business related to the 2025 AC, and for no other purposes. Only persons specifically invited by CNI to attend the 2025 AC are authorized to use the Website. The general public is NOT authorized to use the Website. This Website should not be distributed to anyone else besides invited attendees.

The Website is offered to those specifically invited by CNI conditioned upon their acceptance without modification of all the terms, conditions, and notices set forth in these Terms and Conditions. CNI retains the right at its sole discretion to deny access to anyone to this Website and the services offered, at any time and for any reason, including, but not limited to, for violation of these Terms and Conditions. The content and information on this Website, as well as the infrastructure used to provide such content and information, is proprietary to CNI or our providers.

As a condition of your use of the Website, you warrant that:

  • you possess the legal authority to create a binding legal obligation for yourself on those whom you register;
  • you will use the Website in accordance with these Terms and Conditions;
  • you will only use the Website to make legitimate reservations for you or for another person for whom you are legally authorized to act;
  • you will inform such other persons about the Terms and Condition that apply to the reservations you have made on their behalf, including all rules and restrictions applicable thereto;
  • all information supplied by you on the Website is true, accurate, current and complete; and
  • you will safeguard your account information and will supervise and be completely responsible for any use of your account by you and anyone other than you.

In order to register, participants have to accept, and accept on behalf of all persons whom they register, these Terms and Conditions for the 2025 AC. Registration will be possible until December 2, 2024. The number of participants is limited, and there is no guarantee of availability. Any registration for the 2025 AC constitutes the registrant’s binding offer to enter into a contract with CNI to participate in the 2025 AC at the prices and terms set forth on the Website. However, the registrant’s offer shall not be deemed accepted by CNI until a registration confirmation is sent from CNI or Proske Inc. to registrant.

The contract between CNI and participant is conditioned upon the timely payment of all required fees by participant. CNI shall cancel any booking if full payment is not received in a timely fashion. CNI shall exclude any participant whose fees have not been paid, if required.

The registration office or CNI shall not be responsible for your spam filters blocking your confirmation email. Please make sure your spam filters will allow mailings from Proske Inc. (the domain “@proske.com“).

5. Fees

The 2025 AC takes place on January 18th – 20th, 2025. Fees are indicated per person.

6. Obligations of CNI

In case the event cannot take place due to a force majeure event or any other compelling reason, participants will be informed immediately. In such a case, the nonrefundable $800 deposit shall NOT be refunded.

7. Cancellation of attendance

Suppliers who cancel on or before December 2, 2024, shall be entitled to a refund for fees paid for tours and activities. The USD 800.00 deposit paid at registration is non-refundable. For a cancellation to be valid, it must be sent via email with delivery receipt requested to
cni-annualconference@proske.com and mblack@cniag.com, and the email receipt must be acknowledged by cni-annualconference@proske.com and mblack@cniag.com.

8. Privacy

For the purpose of implementation of these Terms and Conditions and, in individual cases, for forwarding information to partners facilitating the organization of the 2025 AC, any information transmitted to the 2025 AC organizer will be stored digitally. Any intellectual property rights for materials produced or distributed in connection with this conference – in particular the program documents, audio and video material – shall be held by the 2025 AC organizer. Any unauthorized duplication, publication or distribution shall be prohibited. By registering for the 2025 AC, you consent to CNI, and any third parties authorized by CNI as well as possible partners and exhibitors present during the tour, taking photos of you and any other participants who accompany you on the 2025 AC during the 2025 AC events and using these photos in print media or in public relations for the benefit of CNI.

CNI will keep any personal data obtained strictly confidential and will only use it in accordance with the data protection regulations in place. Data will be used exclusively for organizational purposes and in order to fulfil the obligations under this contract.

9. Disclaimers

BY OFFERING TRAVEL OPTIONS FOR PARTICULAR DESTINATIONS, CNI DOES NOT REPRESENT OR WARRANT THAT TRAVEL TO SUCH AREAS IS ADVISABLE OR WITHOUT RISK, AND CNI IS NOT LIABLE FOR DAMAGES OR LOSSES THAT MAY RESULT FROM TRAVEL TO SUCH DESTINATIONS.

CNI accepts no liability if you are refused entry onto a flight or country due to your failure to carry the correct and adequate license, passport, visa, or other travel documents required by any airline, authority, or country, including countries you may just be transitioning through. This includes all stops made by the aircraft, even if you do not leave the aircraft or airport.

The Information published on the Website may include inaccuracies or errors, including pricing errors. CNI disclaims all liability for any errors or other inaccuracies relating to the information and descriptions on the Website. In addition, CNI expressly reserves the right to correct any pricing errors on the Website and/or pending registrations made under an incorrect price. In such event, if available, CNI will offer you the opportunity to keep your pending registration at the correct price or CNI will cancel your registration without penalty.

In no event shall CNI be liable for any direct, indirect, punitive, incidental, special, or consequential damages arising out of, or in any way connected with, your access to, display of, or use of the Website or your participation in the 2025 AC, whether based on a theory of negligence, contract, tort, strict liability, consumer protection statutes, or otherwise, even if CNI was advised of the possibility of such damages.

If, despite any limitations contained herein, CNI is found liable for any loss or damage which arises out of or is in any way connected with your use of the Website or your participation in the 2025 AC, then you agree that the liability of CNI will in no event exceed, in the aggregate, the greater of (a) the fees you paid to CNI in connection with the 2025 AC, or (b) Eight Hundred Dollars  (USD 800.00).

The limitation of liability reflects the allocation of risk between the parties. The limitations specified in this section will survive and apply even if any limited remedy specified in these Terms and Conditions endure to the benefit of CNI.

10. Health and Safety

As a result of certain health and safety concerns, federal, state, and local governments and/or their respective health agencies may recommend social distancing and may, in many locations, prohibit the congregation of groups of people. You represent and warrant that you have familiarized yourself with the most recent guidance and protocols issued by any governments and/or their agencies with jurisdiction over the location of the 2025 AC and any locations you will be traveling from or through and agree to comply therewith. You further represent and warrant that if you choose to attend the 2025 AC, that by the time of the start of the 2025 AC, you will not have: (i) traveled to a highly-impacted area subject to a CDC Level 3 Travel Health Notice within the last fourteen (14) days, (ii) been exposed to any person returning from a highly impacted area subject to a CDC Level 3 Travel Health Notice within the last 14 days, or (iii) been exposed to any person who has a suspected or confirmed case of a health condition that is the subject of a CDC Level 3 Travel Health Notice.  Finally, you agree to abide by any and all health and safety rules and protocols set forth by CNI, Proske, Inc., or any other service providers for the 2025 AC.

Notwithstanding any protocols put in place for the event, CNI and Proske, Inc. cannot guarantee the health and safety of you, and/or any of your family members or other individuals with which you are in contact. Further, attending this event could increase your risk and/or your family members’ risk of contracting certain infections like COVID-19. By completing your registration, you acknowledge the contagious nature of infections like COVID-19 and voluntarily assume the risk that you and/or your family members with which you are in contact with may be exposed to or infected by attending the event and that such exposure or infection may result in personal injury, illness, permanent disability, and/or death. You understand that the risk of becoming exposed to or infected while attending the event may result from the actions, omissions, or negligence of yourself or others, including, but not limited to, CNI and Proske, Inc. employees and/or contractors. You voluntarily agree to assume all of the foregoing risks and accept sole responsibility for any injury to yourself and/or any of your family members (including, but not limited to, personal injury, disability, and/or death), illness, damage, loss, claim, liability, or expense, of any kind, that you and/or any of your family members may experience or incur in connection with your attendance at the event (collectively, “Health and Safety Claims”). On behalf of yourself, and on behalf of your family members, you hereby release, covenant not to sue, discharge, and hold harmless CNI and Proske, Inc., their employees, agents, parents, subsidiaries, assigns, contractors and representatives, of and from any and all Health and Safety Claims, including all liabilities, claims, actions, damages, costs or expenses of any kind arising out of or relating thereto. You understand and agree that this release includes any Health and Safety Claims based on the actions, omissions, or negligence of CNI and Proske, Inc., their employees, agents, parents, subsidiaries, assigns, contractors and representatives, whether the event giving rise to a Health and Safety Claim occurs before, during, or after the event.

11. Indemnification

You agree to defend and indemnify CNI and any of its officers, directors, and employees from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature, including but not limited to reasonable legal and accounting fees, brought by third parties as a result of:

  • your breach of these Terms and Conditions;
  • your violation of any law or the rights of a third party; or
  • your use of the Website.

12. Miscellaneous

The validity, interpretation, terms, enforcement and performance of these Terms and Conditions shall be governed by, and construed in accordance with, those laws of the State of Georgia. With respect to any action to enforce or interpret these Terms and Conditions, or otherwise arising out of or relating to these Terms and Conditions or the 2025 AC, each party (i) consents and submits to personal jurisdiction and venue in the Superior Court of Lee County, State of Georgia (referred to as the “Court”); (ii) waives any and all objections to jurisdiction and venue in the Court; and (iii) waives any objection that the Court is an inconvenient forum. Each party further agrees that jurisdiction and venue concerning any legal or equitable action to enforce or interpret these Terms and Conditions, or otherwise arising out of these Terms and Conditions or the 2025 AC, shall rest exclusively in the Superior Court of Lee County, State of Georgia, so that any such action shall be brought and defended in the Court.

If any part of these Terms and Conditions is found to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions will not in any way be affected or impaired. CNI’s failure or delay in enforcing any provision of these Terms and Conditions at any time does not waive CNI’s right to enforce the same or any other provision(s) hereof in the future.

These Terms and Conditions (and any other terms and conditions referenced herein) constitutes the entire agreement between you and CNI with respect to this Website and the 2025 AC, and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and CNI. A printed version of these Terms and Conditions and of any notice given in electronic form shall be admissible in judicial, arbitration or any other administrative proceedings to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
