12. Miscellaneous

The validity, interpretation, terms, enforcement and performance of these Terms and Conditions shall be governed by, and construed in accordance with, those laws of the State of Georgia. Each party further agrees that jurisdiction and venue concerning any legal or equitable action to enforce or interpret these Terms and Conditions, or otherwise arising out of these Terms and Conditions or the 2025 AC, shall rest exclusively in the Superior Court of Lee County, State of Georgia, so that any such action shall be brought and defended in the Court.

These Terms and Conditions (and any other terms and conditions referenced herein) constitutes the entire agreement between you and CNI with respect to this Website and the 2025 AC, and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and CNI. A printed version of these Terms and Conditions and of any notice given in electronic form shall be admissible in judicial, arbitration or any other administrative proceedings to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
